Terms of Service

By creating an account, downloading our app, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You also agree to our Privacy Policy and our Official Sweepstakes Rules, both of which are incorporated by reference. Where these documents conflict, the Official Sweepstakes Rules control over any contradictory provision in these Terms with respect to sweepstakes operations.

To use the Service you must:

• Be a legal resident of the United States or the District of Columbia, present in the U.S. at the time you use the Service
• Be at least 18 years of age. Residents of Alabama and Nebraska must be at least 19; residents of Mississippi must be at least 21
• Not be a resident of, or accessing the Service from, a state in which the Service is prohibited. The current restricted-state list is published on our Eligibility & Restricted States page in the app
• Have legal capacity to enter into a binding contract
• Not be on any U.S. or international sanctions list
• Not be an employee, officer, or contractor of Rush Live Inc. or their immediate household

We may verify eligibility at any time. Providing false information or attempting to evade these restrictions (for example, by using a VPN, false address, or another person's identification) is grounds for immediate account termination, forfeiture of all in-app balances, and may result in civil or criminal liability.

Registration

• You may register only one (1) account. Operating multiple accounts is grounds for termination and forfeiture of balances
• You must provide accurate, current, and complete information and keep it updated
• You are responsible for safeguarding your password and for any activity under your account

Identity verification

We are required by U.S. financial-services and sweepstakes regulations to verify your identity before processing prize redemptions. We use Stripe Identity for identity verification and Stripe Financial Connections to verify bank-account ownership. By using the Service, you authorize Rush Live and Stripe to collect, store, and process the identity and bank information described in our Privacy Policy.

Two-factor authentication

Two-factor authentication is available for all accounts. We strongly recommend enabling it, and we may require it before processing certain redemptions.

Account security

Notify us immediately at rushliveteam@gmail.com if you suspect unauthorized access to your account. You are responsible for losses resulting from your failure to safeguard your credentials.

You make picks on live streamer gameplay using virtual Gold Coins. When picks succeed, you may earn Prize Tokens, which can be redeemed for cash prizes, gift cards, and other rewards subject to verification.

A free method of entry (mail-in) is always available and is weighted equally with paid entry. See Section 7 and our Official Sweepstakes Rules for details.

Gold Coins

• Used for in-app gameplay only
• Have NO monetary value and CANNOT be redeemed for cash, prizes, or anything of value
• Are not refundable except as required by applicable law
• May be purchased, earned through gameplay activities, or received through promotions
• Are licensed to you for use within the Service; you do not own them

Prize Tokens

• The redeemable sweepstakes currency
• 1 Prize Token = $1.00 USD redemption value (subject to redemption rules)
• Earned through gameplay wins, daily promotions, and free mail-in entries
• Cannot be purchased
• Subject to verification, eligibility, and tax-reporting requirements before redemption
• Have no value outside the Service except as redeemed through approved channels

Forfeiture

Balances of either currency may be forfeited without refund if you violate these Terms, close your account, are determined to be ineligible, or do not access your account for twelve (12) consecutive months.

• Picks are based on outcomes of live streamer gameplay. We use historical statistics, live data feeds, and machine learning to set odds
• All picks are final once confirmed. You cannot cancel or modify a pick after it is placed
• We may void picks if the underlying game ends prematurely, technical issues prevent outcome verification, or we detect manipulation. Voided picks return your full stake
• Stake limits apply per pick and per day. Limits depend on your verification level and responsible-gaming settings
• Odds are provided in good faith but are not guarantees. Rush Live is not liable for outcomes that result from external factors (streamer behavior, game updates, third-party platforms)

No purchase is necessary to participate in any Rush Live sweepstakes. You may enter for free by mailing a 3×5 inch card with your full name, mailing address, email, date of birth, and the phrase "RUSH LIVE SWEEPSTAKES — FREE ENTRY" to the address published in the app under Settings → Free Entry (AMOE).

Free entries are weighted equally with paid entries. Detailed entry mechanics, limitations (typically one entry per envelope, one envelope per day), and the mailing address are published in the in-app Free Entry screen and the Official Sweepstakes Rules.

• Minimum redemption is 100 Prize Tokens ($10 USD). Maximum redemption per transaction depends on your verification level and the applicable Official Sweepstakes Rules
• All redemptions require successful identity verification. Redemptions of $100 USD or more require additional bank-account ownership verification via Stripe Financial Connections
• Redemptions are processed via Stripe Connect Express transfer to a verified U.S. bank account, or by gift card via approved providers
• Cumulative redemptions of $600 or more in any calendar year require completion of IRS Form W-9 and may result in an IRS Form 1099-MISC being issued to you
• You are solely responsible for all federal, state, and local taxes on prizes received
• We may delay redemptions to complete fraud review, identity re-verification, or regulatory checks. We will communicate the reason for any extended delay
• We may refuse to process a redemption if we reasonably believe it is fraudulent, violates these Terms, or would violate applicable law

You agree not to:

• Create more than one account, share accounts, or transfer your account to another person
• Use the Service if you are below the minimum eligible age or located in a restricted state
• Use a VPN, proxy, false location, or other method to misrepresent where you are located
• Use bots, scripts, automation, scrapers, or any non-public API to access the Service
• Attempt to manipulate game outcomes, collude with streamers or other users, or place picks based on inside information not available to the general public
• Use stolen, fraudulent, or unauthorized payment instruments, or fail to pay for any transaction
• Use the Service to launder money, evade taxes, or engage in any other illegal activity
• Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Service
• Harass, threaten, or impersonate other users; transmit content that is unlawful, defamatory, discriminatory, or obscene
• Probe, scan, or test the security of the Service except as authorized by our published responsible-disclosure policy
• Sell, trade, or transfer Gold Coins, Prize Tokens, or accounts to third parties

Violation of any of the above is grounds for immediate suspension or termination of your account, forfeiture of all in-app balances, reversal of pending redemptions, and may result in legal action.

You may submit content to the Service (usernames, profile bios, comments, support messages, screenshots — collectively, "User Content"). You retain ownership of your User Content, but you grant Rush Live a worldwide, royalty-free, sublicensable license to host, display, reproduce, modify, and distribute your User Content for the purpose of operating and promoting the Service.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any third party's rights. We may remove or refuse to display User Content at our discretion.

The Service, including the Rush Live name, logo, app interface, design, text, graphics, machine-learning models, and all other materials we create, are owned by or licensed to Rush Live Inc. and are protected by U.S. and international copyright, trademark, and other intellectual-property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service solely for personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved.

The Service integrates with third-party platforms including Twitch, YouTube, Kick, Discord, Stripe, Supabase, Twilio, and others. We are not responsible for the content, availability, accuracy, or practices of those services, and your use of them is governed by their own terms.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful code. We do not warrant any particular outcome from your use of the Service, including winning prizes.

In any event, Rush Live Inc.'s total aggregate liability to you for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to liability.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In those jurisdictions, the above limitations apply only to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless Rush Live Inc., its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any content you submit to the Service.

By you

You may terminate your account at any time through Settings → Delete Account in the app. Deletion is permanent. Pending redemptions in good standing will be processed before deletion completes; in-app balances of Gold Coins are forfeited on deletion.

By us

We may suspend or terminate your account, or restrict your access to all or part of the Service, at any time with or without notice, including for violation of these Terms, suspected fraud, or where we are required to do so by law. Sections that by their nature should survive termination (including currencies-forfeiture, disclaimers, limitation of liability, indemnification, arbitration, and governing law) survive termination.

Binding arbitration

You and Rush Live Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or our relationship with you (each, a "Dispute") will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and not in court. The arbitration will be conducted in Wilmington, Delaware, or by video conference, at the consumer's election.

Class-action waiver

You and Rush Live agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions

Either party may bring an individual claim in small-claims court for disputes within that court's jurisdiction. Either party may also seek injunctive or equitable relief in court for actual or threatened intellectual-property infringement.

Opt-out right

You may opt out of this Arbitration Agreement by sending written notice of your decision to rushliveteam@gmail.com with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms. Your notice must include your full name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

Survival

This Arbitration Agreement survives termination of your account or these Terms.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. For disputes not subject to the arbitration agreement in Section 17, you and Rush Live Inc. consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

The Service is intended for use only in the United States. We make no representation that the Service is appropriate or available outside the U.S.

We may modify these Terms from time to time. When we make material changes we will post the updated Terms here with a new effective date and notify you in the app and by email at least seven (7) days before the changes take effect. Your continued use of the Service after the new Terms take effect constitutes your acceptance of the changes.

If you do not agree to the updated Terms, your sole remedy is to stop using the Service and delete your account before the changes take effect.

• Entire agreement. These Terms, the Privacy Policy, and the Official Sweepstakes Rules together form the entire agreement between you and Rush Live Inc. regarding the Service
• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision
• Assignment. You may not assign these Terms without our written consent. We may assign these Terms to any successor in interest
• No agency. Nothing in these Terms creates an agency, partnership, or joint-venture relationship between you and Rush Live Inc.
• Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control
• Notices. We may give notice to you by email to the address on your account, by in-app message, or by posting to the Service. Notice to us must be sent to rushliveteam@gmail.com
• Apple-specific. If you accessed the app from Apple's App Store, you acknowledge that these Terms are between you and Rush Live Inc. only, not Apple. Apple is not responsible for the app, its content, or any claims relating to it
